General Terms and Conditions of Sale
- The customer explicitly waives their own general terms and conditions, even if these were drawn up after these general terms and conditions of sale. To be valid, any derogation must be expressly accepted in advance in writing.
- Our invoices are payable upon order, unless otherwise indicated on the invoice or order. In case of non-payment by the due date, Noévia II SAS reserves the right to charge a fixed interest of 15% on the remaining amount due. Noévia II SAS will be entitled to suspend any service delivery without notice in case of late payment.
- If a payment is still due more than sixty (60) days after the due date, Noévia II SAS reserves the right to use the services of a debt collection company. All legal fees will be the responsibility of the customer.
- Some countries apply withholding tax on the amount of invoices, in accordance with their domestic legislation. Any withholding tax will be paid by the customer to the tax authorities. Under no circumstances can Noévia II SAS be involved in the costs related to the legislation of any country. Therefore, the invoice amount will be due to Noévia II SAS in full and will not include any costs related to the legislation of the country where the customer is located.
- Noévia II SAS undertakes to provide efficient services on time in accordance with the agreed deadlines. However, none of its obligations can be considered as an obligation of result. Noévia II SAS can in no case be held liable by the customer to appear as a third party in any claim for damages brought against the customer by a final consumer.
- To be admissible, Noévia II SAS must be notified of any claim by means of a letter sent by registered mail to its headquarters within 8 days of the delivery of goods or provision of services.
- All our contractual relations will be governed exclusively by French law.
